Please read these Terms of Service ("Terms") carefully before using the website located at dniprologistics.com (the "Website") or engaging the services of Dnipro Logistics LLC ("Dnipro Logistics", "we", "us"). By accessing the Website or requesting our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By using this Website or engaging our freight and logistics services, you confirm that you have read, understood and agreed to these Terms. If you do not agree with any part of these Terms, you must not use the Website or our services. These Terms apply to all visitors, clients and other persons who access the Website or engage our services.

2. Description of Services

Dnipro Logistics LLC provides freight and logistics services including, but not limited to:

  • Full truckload (FTL) and part-load (LTL) road haulage within Ukraine and internationally;
  • Customs clearance for import, export and transit shipments;
  • Bonded and general warehousing in Dnipro;
  • Last-mile and city delivery across Dnipro and regional hubs;
  • Rail and multimodal freight solutions;
  • Project cargo and oversized load transport.

The specific scope of services for each engagement is set out in a written quotation or service agreement. In the event of conflict between these Terms and a written service agreement, the service agreement shall prevail.

3. Enquiries and Quotations

Submitting an enquiry through our Website contact form or by email does not create a binding contract. A contract for logistics services is formed only when both parties have signed or confirmed in writing a specific quotation, service agreement or booking confirmation. Quotations are valid for the period stated therein; if no period is stated, quotations expire after 10 business days.

4. Client Obligations

When engaging our services, you agree to:

  • Provide accurate and complete information about the cargo, including correct descriptions, weights, dimensions and any special handling requirements;
  • Declare all hazardous goods (ADR) and regulated commodities in full before booking;
  • Ensure that cargo is properly packed, labelled and documented in accordance with applicable law and transport regulations;
  • Obtain all necessary export or import permits and licences required for the cargo;
  • Pay invoices within the agreed payment terms.

Dnipro Logistics shall not be liable for any loss, delay or fine arising from the client's failure to fulfil these obligations.

5. Pricing and Payment

Freight rates are as agreed in the written quotation or service agreement. Unless otherwise stated, rates are quoted exclusive of VAT, which will be charged at the applicable Ukrainian rate. Additional charges may apply for waiting time, demurrage, storage overruns, additional customs declarations or changes to shipment details after booking confirmation. Invoices are payable within the term stated on the invoice; late payment may attract interest at the rate prescribed by Ukrainian law.

6. Liability and Claims

Our liability for loss of or damage to cargo during transport is governed by the CMR Convention (for international road transport), applicable Ukrainian transport law and the specific terms of any insurance arranged in connection with the shipment. Our liability is limited to the amounts prescribed by the applicable convention or law. We are not liable for consequential, indirect or economic loss except where required by law. Claims for cargo loss or damage must be submitted in writing within the time limits prescribed by the CMR Convention or applicable law; failure to do so may extinguish your right to claim.

7. Force Majeure

We shall not be liable for failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to armed conflict, civil disturbance, acts of government, extreme weather, natural disasters, pandemics, strikes, road closures or infrastructure disruption. In such events we will notify you promptly and take reasonable steps to mitigate the impact on your shipment.

8. Intellectual Property

All content on this Website — including text, graphics, logos, images and software — is the property of Dnipro Logistics LLC or its licensors and is protected by applicable intellectual property law. You may access and view the Website for informational purposes but you may not copy, reproduce, distribute, publish or exploit any content without our prior written consent.

9. Acceptable Use of the Website

You agree not to:

  • Use the Website for any unlawful purpose or in any way that violates these Terms;
  • Attempt to gain unauthorised access to any part of the Website or our systems;
  • Introduce malicious code, viruses or harmful data;
  • Scrape, harvest or systematically collect data from the Website without written permission;
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.

10. Disclaimers

The Website and its content are provided "as is" without warranties of any kind, express or implied. We do not warrant that the Website will be uninterrupted, error-free or free of harmful components. Transit time estimates and route information are indicative and may be affected by operational or regulatory factors outside our control.

11. Limitation of Liability

To the maximum extent permitted by Ukrainian law, Dnipro Logistics LLC shall not be liable for any indirect, incidental, special, punitive or consequential damages arising from your use of or reliance on this Website or our services, even if we have been advised of the possibility of such damages. Our total aggregate liability to you for direct damages arising from your use of this Website shall not exceed UAH 1,000.
